Background

Scope of Work
Statement of Work (SOW)
Tax Audit Support and Representation Services
1. Background
Family Health International (FHI 360) has received a tax audit notification from the Cameroon
Directorate General of Taxation (DGI) covering the period from 1 January 2022 to 31
December 2024. To ensure compliance with applicable tax legislation, facilitate effective
communication with tax authorities, and safeguard the organization's interests throughout the
audit process, FHI 360 seeks to engage a qualified and accredited tax advisory firm to provide
technical support, representation, and guidance through the conclusion of the audit.

2. Objective of the Assignment
The objective of this assignment is to provide comprehensive tax advisory, audit support,
representation, and dispute-resolution services throughout the tax audit process, including
preparation, audit fieldwork, review of findings, response to reassessments, negotiations with
tax authorities, and final closure of the audit.

3. Scope of Work
The selected firm shall provide end-to-end support throughout the audit process, including
but not limited to:
A. Audit Readiness and Preparation
• Review the tax audit notification and determine audit risks and exposure areas.
• Review all tax filings, DSFs, accounting records, payroll records, VAT returns,
withholding tax declarations, and supporting documentation covering the audit period.
• Assess compliance with the Cameroon General Tax Code and applicable OHADA
requirements.
• Identify potential tax risks, gaps, and areas requiring corrective action prior to
examination by the tax authorities.
• Prepare supporting schedules and documentation required by the DGI.
• Advise management on audit strategy and risk mitigation measures.
B. Audit Support and Representation
• Serve as FHI 360's authorized tax advisor throughout the audit process.
• Attend all meetings with tax authorities.
• Provide technical advice during audit interviews and document reviews.
• Assist in the preparation and submission of all documents requested by the DGI.
• Review all requests for information and advise on appropriate responses.
• Provide ongoing guidance to management regarding potential tax exposures and risks.
• Maintain regular communication with FHI 360 management regarding audit progress.
C. Review and Response to Audit Findings
The firm shall provide complete support regarding any audit findings, including:
• Detailed review and analysis of preliminary audit observations.
• Assessment of the legal and financial implications of proposed adjustments.
• Preparation of technical and legal responses to audit findings.
• Preparation of written rebuttals and supporting documentation challenging unjustified
adjustments.

• Preparation of responses to notifications, reassessment notices, and any subsequent
correspondence from the tax authorities.
• Advice on strategies to mitigate penalties and interest.
• Representation during negotiations with the DGI.
• Assistance with administrative appeals, objections, and dispute-resolution procedures
where necessary.
D. Audit Closure and Post-Audit Support
• Support management until formal closure of the audit.
• Assist in reviewing the final tax assessment.
• Provide recommendations regarding payment, settlement, appeal, or other corrective
actions.
• Prepare a final audit report highlighting:
o Audit outcome;
o Financial impact of findings;
o Issues resolved;
o Outstanding matters;
o Recommended corrective actions;
o Compliance improvements for future periods.

4. Required Workplan
The firm shall submit a detailed workplan within five (5) working days of contract award,
including:
Phase 1: Mobilization and Risk Assessment
Duration: 1 to 2 weeks
Deliverables:
• Inception report
• Audit strategy and engagement plan
• Preliminary risk assessment
Phase 2: Documentation Review and Audit Readiness

Duration: 2 to 4 weeks
Deliverables:
• Compliance gap assessment
• Documentation readiness checklist
• Audit support files
Phase 3: Audit Fieldwork Support
Duration: Throughout DGI fieldwork
Deliverables:
• Ongoing support and representation
• Meeting minutes
• Technical advisory notes
• Responses to information requests
Phase 4: Response to Preliminary Findings
Duration: As audit findings are issued
Deliverables:
• Technical analysis of findings
• Draft response letters
• Position papers
• Supporting documentation
Phase 5: Negotiation and Resolution
Duration: Until issuance of final audit assessment
Deliverables:
• Negotiation support
• Objection and appeal documentation as required
• Management briefings

Phase 6: Audit Closure
Duration: Following final assessment
Deliverables:
• Final audit closure report
• Lessons learned report
• Compliance improvement roadmap

5. Minimum Firm Qualifications
The firm must:
Mandatory Requirements
• Be legally registered and authorized to operate in Cameroon.
• Be accredited and authorized under applicable Cameroonian tax regulations to provide
tax advisory and representation services.
• Have at least ten (10) years of experience providing tax advisory services in Cameroon.
• Demonstrate substantial experience representing organizations before the Directorate
General of Taxation (DGI).
• Have expertise in:
o Corporate taxation;
o VAT;
o Withholding taxes;
o Payroll taxation;
o Tax audits and investigations;
o Tax dispute resolution;
o OHADA accounting framework.
• Assign a lead tax expert with a minimum of ten (10) years of relevant experience.

Preferred Requirements
• Experience supporting international NGOs, donor-funded projects, or development
organizations.
• Experience supporting organizations undergoing multi-year DGI audits.
• Proven success in reducing proposed tax assessments through technical review and
negotiations.

6. Period of Performance
The period of performance shall commence upon contract signature and continue through the
complete conclusion of the tax audit process.
The contract shall remain in force from the start of the engagement until:
• Completion of the DGI field audit;
• Review and response to all preliminary findings;
• Resolution of all audit observations;
• Completion of negotiations with tax authorities;
• Issuance of the final tax assessment;
• Resolution of any administrative objections or appeals initiated during the audit
process; and
• Formal closure of the tax audit.
The anticipated duration is over the duration of the audit period and actions period to have
been fully resolved.

7. Reporting Requirements
The selected firm shall report directly to the Director of Administration and Finance and
provide:
• Weekly status updates during active audit periods.
• Written summaries after each meeting with tax authorities.
• Immediate notification of significant risks or potential assessments.

• Monthly progress reports detailing activities undertaken, issues identified, and
recommended actions.
8. Terms of payments
Payment is to be made in accordance with the following schedule:
➢ Deposit: 30 % upon signing the contract may be paid at the start of the activity if
necessary.
➢ Balance: 70 % upon completion of the services, upon presentation of an invoice and an
activity report
Invoices are payable by bank transfer within 30 days from the date of issue.
